Terms of Service

By accessing and using the Zapchatz platform, you agree to comply with the terms and conditions described herein. This agreement governs the relationship between Zapchatz (hereinafter "the company") and any person or entity that uses the technical consulting services, implementation of automated internal communication CRM systems, and optimization of corporate technical support chats.

1. Purpose of the Service

Zapchatz offers software solutions and consulting aimed at implementing CRM systems for automated internal communication, optimizing corporate technical support chats, training in real-time information flows, auditing corporate data IT security, and reducing technical processing times. The specific scope of each service is defined in the corresponding contract or commercial proposal.

2. User Responsibilities

The user agrees to provide truthful and complete information during the registration and contracting process. They are responsible for maintaining the confidentiality of their access credentials and all activities that occur under their account. Misuse of the platform, including the introduction of malware, engaging in illegal activities, or violating third-party rights, will result in immediate suspension of the service.

3. Limitation of Liability

Zapchatz shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the service, including data loss, business interruption, or lost profits. The company's total liability in connection with any claim shall not exceed the amount paid for the service during the six months prior to the event giving rise to the claim. This limitation applies to the fullest extent permitted by applicable law.

4. Intellectual Property

All content, software, documentation, trademarks, and materials provided by Zapchatz are the exclusive property of the company or its licensors. The user acquires no ownership rights to such items. Reproduction, distribution, modification, or reverse engineering of the software is prohibited without express written authorization.

5. Confidentiality and Data Security

Both parties agree to maintain the confidentiality of information exchanged during the provision of the service. Zapchatz implements technical and organizational security measures to protect corporate data, including communication encryption and role-based access controls. However, the user acknowledges that no system is completely secure and accepts the inherent risks of using digital platforms.

6. Duration and Termination

The service is provided for the period agreed upon in the contract. Either party may terminate the agreement with 30 days' notice, unless there is a material breach of obligations, in which case termination will be immediate. Upon termination of the service, Zapchatz will provide the user with a copy of their data in a standard format within 15 business days.

7. Modifications to Terms

Zapchatz reserves the right to modify these terms at any time. Changes will be notified to the user at least 15 days in advance via the registered email address or through a notice on the platform. Continued use of the service after the effective date of the modifications constitutes acceptance of the new terms.

8. Applicable Law and Jurisdiction

These terms are governed by the laws of the Dominican Republic. Any dispute arising in connection with this agreement shall be submitted to the competent courts of the city of Santiago, Dominican Republic, with express waiver of any other jurisdiction.
